A clean Phase I ESA no longer answers every transaction question. For many commercial and industrial deals, pfas due diligence for property transactions has become a separate risk analysis - one that can affect valuation, lender comfort, redevelopment strategy, and post-closing liability.
PFAS issues do not behave like a routine historical recognized environmental condition. The chemistry is different, the regulatory landscape is still moving, and the cost implications can be significant if impacts are identified after acquisition. That is exactly why buyers, lenders, counsel, and sellers need a more deliberate approach when a site has the right history, operations, or surrounding conditions to raise concern.
Why PFAS due diligence for property transactions now matters more
PFAS risk is showing up in deals that would have received less scrutiny a few years ago. Industrial facilities, airports, metal finishing sites, landfills, wastewater-related properties, fire training areas, and certain manufacturing operations are obvious examples. But concern is also extending to properties influenced by off-site migration, biosolids application, municipal water issues, or legacy tenant operations that were never evaluated through a PFAS lens.
The business problem is straightforward. If PFAS is present in soil, groundwater, surface water, sediment, or building systems, the issue can trigger investigation costs, operational constraints, reporting questions, cleanup obligations, and reputational concerns. It may also change how a lender views collateral risk or how a developer sequences site work. In some cases, PFAS is not the reason a transaction stops. It is the reason pricing, indemnities, escrows, access terms, or post-closing obligations change.
That is why PFAS diligence should not be treated as a generic add-on. It should be scoped to the asset, the transaction structure, and the actual decision that has to be made.
What PFAS due diligence should cover before closing
The first step is not automatically sampling. It is building a defensible conceptual site model around likely PFAS sources, migration pathways, and exposure points. In a transaction setting, that means reviewing current and historical uses, tenant operations, chemical storage and process areas, fire suppression systems, wastewater handling, stormwater infrastructure, disposal practices, and nearby properties that could have affected the site.
A standard records review may not be enough if the property type suggests a credible PFAS nexus. The diligence team should also consider whether site utilities, ponds, outfalls, lagoons, separators, or fill areas may have concentrated impacts. If redevelopment is planned, the review should account for how excavation, dewatering, material management, or discharge permitting could be complicated by PFAS.
For buyers and lenders, the key question is not simply whether PFAS has ever been discussed at the property. The better question is whether available information is enough to support the transaction decision without leaving a major blind spot. Sometimes the answer is yes. Sometimes it is clearly no.
Phase I ESA is part of the picture, not the whole picture
PFAS due diligence for property transactions often starts alongside the Phase I ESA, but the two are not interchangeable. ASTM transaction standards have evolved, and the treatment of emerging contaminants has been a point of industry attention. Even when PFAS is considered during desktop review, that does not mean the property has been meaningfully evaluated for PFAS risk.
A Phase I can help identify operational history and obvious red flags. It may also document data gaps or site features that justify targeted follow-up. But if the property has PFAS-relevant uses, a transaction team should avoid assuming that a conventional Phase I alone resolves the issue. It usually does not.
When targeted sampling makes sense
Sampling becomes appropriate when the known facts create a material risk question that cannot be resolved through records review, interviews, and site reconnaissance. That might include a former fire training area, fluorochemical use in manufacturing, plating or coating processes, landfill influence, wastewater residuals management, or regional groundwater concerns tied to neighboring operations.
The scope matters. PFAS sampling is highly sensitive to cross-contamination, and weak field protocols can create bad data and bad decisions. Media selection also matters. Groundwater may be the primary concern on one site, while soil, stormwater structures, process areas, or potable water are more relevant on another. The right scope is driven by the transaction objective - acquisition, financing, divestiture, redevelopment, or portfolio screening - and by the likely regulatory pathway if impacts are found.
The transaction questions stakeholders are really trying to answer
Different parties use PFAS diligence for different reasons, even when they are looking at the same property.
A buyer wants to know whether the site carries hidden liability, whether future use plans are still realistic, and whether pricing should change. A lender is focused on collateral impairment, default risk, and whether the environmental profile fits internal underwriting standards. A seller may need to understand whether a known issue must be disclosed, whether pre-marketing investigation will reduce retrade risk, or whether it is better to keep diligence limited and negotiate around uncertainty.
Attorneys are often looking for a record that supports allocation of risk. That can mean using the findings to shape representations, indemnities, escrow structure, access rights, or post-closing cooperation. Insurers may look at the same information through a coverage lens, including whether the issue is known, probable, quantified, or still speculative.
This is where technical work and business strategy meet. The right answer is rarely just more data. It is enough reliable data to support a defensible decision on timing, value, structure, and next steps.
It depends on the site, the state, and the deal timeline
PFAS diligence is not one-size-fits-all because regulatory expectations are not uniform. State programs vary, and federal developments continue to influence how parties assess future obligations. A property in active industrial use with no groundwater reliance presents a different profile than a redevelopment site near a drinking water receptor or a property with known historical AFFF use.
Geology and hydrogeology also matter. Migration behavior, depth to groundwater, preferential pathways, and discharge points can all affect the significance of a release. The same concentration can create very different business consequences depending on where it is found and what the property owner needs to do next.
Then there is timing. Some deals can accommodate phased diligence with pre-closing review followed by limited confirmatory work. Others require fast answers during a short exclusivity period. In those cases, senior-level judgment is essential. The goal is not to produce a perfect academic evaluation. The goal is to identify what could materially change the transaction and focus effort there first.
Common mistakes in PFAS due diligence for property transactions
The most common mistake is treating PFAS as a check-the-box emerging contaminant issue. That approach often results in vague reporting, weak recommendations, or no meaningful analysis at all.
Another mistake is overscoping too early. Broad PFAS sampling without a clear decision framework can spend time and money without resolving the transaction issue. If results come back with limited context, the parties may be left with more uncertainty, not less.
Underscoping is just as risky. Ignoring credible source history because PFAS regulation is still developing can leave a buyer or lender exposed to a foreseeable problem. The fact that standards may change is not a reason to avoid diligence. It is a reason to scope it carefully and document the basis for the decision.
A final mistake is separating technical review from deal strategy. Environmental consultants, counsel, and financial stakeholders need to work from the same facts and timeline. When they do not, even good technical findings can arrive too late to help.
A practical approach to PFAS transaction risk
The most effective process is disciplined and purpose-built. Start with property history, operational indicators, surrounding land use, and regulatory context. Identify whether PFAS risk is low, plausible, or material. If the risk is plausible or material, define the exact transaction question that remains unanswered. Then scope focused follow-up that is technically sound and usable in negotiation, underwriting, or closing decisions.
