The challenge is that PFAS does not fit neatly into older due diligence models. Regulatory standards are evolving, historical use can be difficult to trace, and the cost implications of investigation, waste management, treatment, and long-term obligations can be significant. The right approach is not to test every site reflexively. It is to identify where PFAS risk is plausible, material, and capable of affecting value or closing certainty.
Why PFAS changes acquisition risk
PFAS, or per- and polyfluoroalkyl substances, have been used in industrial processes, firefighting foams, surface coatings, plating operations, textiles, paper treatment, and many commercial products. Their persistence is what makes them such a concern in transactions. Once released, they can remain in soil, groundwater, sediment, surface water, and even building systems for extended periods, and they do not behave like many better-known contaminants.
That persistence creates a business problem. A site may appear manageable under a conventional due diligence review, but PFAS can introduce future investigation demands, operational constraints, disposal complications, and regulatory scrutiny that were not built into the original underwriting. In some cases, PFAS becomes the issue that reopens assumptions about a deal long after closing.
The legal landscape also matters. Federal and state positions continue to develop, and some jurisdictions are more aggressive than others in setting screening levels, drinking water standards, investigation triggers, and enforcement expectations. For acquisitions in Texas, Delaware, and the Delmarva region, the practical question is not whether every PFAS issue is already fully defined. Industrial facilities with metal finishing, chemical handling, plastics manufacturing, textile treatment, electronics work, waste management, and paper or packaging operations deserve closer attention. So do airports, fire training areas, bulk fuel facilities, landfills, wastewater treatment infrastructure, and sites where aqueous film-forming foam may have been stored or deployed. Even if the target property itself did not use PFAS directly, migration from nearby facilities can create exposure.
This is where experienced diligence matters. A buyer does not need a generic statement that PFAS may be present anywhere. The buyer needs a reasoned opinion about whether the site history, surrounding setting, hydrogeology, and redevelopment plan create a meaningful risk pathway.
What records and indicators matter most
Useful indicators often include fire suppression system history, industrial process descriptions, historical aerials showing burn pits or training areas, stormwater and wastewater discharge practices, prior environmental reports, waste manifests, permits, and interviews with operators or facility managers. Utility corridors, drainage pathways, and groundwater flow direction can also reshape the risk picture quickly.
An older Phase I may have limited value on this issue if it predated current PFAS scrutiny or was not scoped to evaluate PFAS-related operations. Buyers should be careful about treating older diligence as current risk analysis.
When PFAS sampling makes sense

Testing can confirm whether a risk is real, help quantify the magnitude of a problem, and support negotiation. PFAS investigations are susceptible to cross-contamination, and the analytical suite, media selection, and quality control approach all matter. A poorly designed program can produce data that is expensive but not decision-useful. For that reason, many transactions benefit from phased decision points: first define whether a plausible source and pathway exist, then decide whether limited screening, targeted delineation, or deferred post-closing work is the best path.
How PFAS affects deal structure
PFAS risk should be translated into transaction terms, not left as a technical appendix. If the issue is potentially material, buyers and their counsel need to decide whether to reprice, require pre-closing investigation, negotiate escrows, seek indemnities, narrow representations, or adjust closing conditions.
The right structure depends on the facts. If there is a known or strongly suspected source area with redevelopment implications, a buyer may need pre-closing access and enough sampling to estimate cost and schedule impact. If the risk is uncertain but plausible, a holdback or special indemnity may be more efficient than delaying the deal. In other situations, the buyer may accept the risk if the property basis, planned use, and exit horizon justify it.
Lenders and insurers may view PFAS differently from legacy contaminants because of the unsettled regulatory environment and the possibility of future standard changes. That can affect financing timing, reserve requirements, environmental insurance terms, and overall deal certainty. A clear technical memorandum that explains what is known, what remains uncertain, and what the practical business impacts may be often carries more value than a thick report with no decision framework.
Common mistakes buyers make
One common mistake is assuming PFAS only matters at obvious industrial hot spots. In reality, logistics sites, commercial properties, mixed-use redevelopment tracts, and infrastructure corridors can all carry PFAS questions depending on historical use and nearby sources.
Another is treating PFAS as a simple yes-or-no issue. A low-level detection in one medium does not automatically make a deal unworkable, just as a lack of current data does not eliminate risk. The key is materiality. Does the issue affect use, cost, timing, financing, disposal, or future liability allocation?
A third mistake is waiting too long. If PFAS is first raised after legal documents are substantially set, leverage narrows. The earlier the issue is screened, the more options the buyer has.
Building a practical diligence strategy
A practical acquisition strategy aligns the level of PFAS review with the stakes of the deal. For a low-risk office property with no industrial history and no concerning surrounding uses, a focused historical screen may be enough. For a former industrial tract, an active manufacturing facility, or a redevelopment site with groundwater handling and earthwork, a more rigorous approach is often justified.
That strategy should connect four questions. Is there a credible source? Is there a likely pathway? Could the issue affect the intended business plan? Can the risk be priced, managed, or contractually allocated? If those questions are addressed directly, the buyer is in a stronger position to move decisively.
